Terms of Service

1. Acceptance of Terms

By creating a Prismdeck account or using the Prismdeck web application at prismdeck.net (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not create an account or use the Service. Prismdeck is operated by Developer312, a subsidiary of NIGHT LITE USA LLC (collectively, “Prismdeck,” “we,” or “us”).

2. Accounts

You must be at least 13 years old (or 16 in jurisdictions requiring parental consent for data processing) to create an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

3. Plans and Features

Prismdeck offers a Free plan, a Pro plan ($19/month), and a Team plan ($49/month, early-access). Plan features and limits are described on our Pricing page and may change with notice. The Team plan is currently in early access — joining the waitlist does not charge you and does not create a paid subscription.

4. Billing and Renewal

Paid plans are billed monthly in advance via Stripe. Subscriptions renew automatically until you cancel. You can cancel anytime from your billing settings — access continues through the end of your paid period. Taxes are added where required by law. Upgrades and downgrades take effect according to Stripe's proration rules. See our Refund Policy for cancellation and refund details.

5. AI Generation and Content Responsibility

Prismdeck uses Anthropic Claude to generate pitch-deck content from your prompts. You are responsible for reviewing AI-generated content for accuracy before sharing it with investors, customers, or the public. Prismdeck does not guarantee that any deck will result in funding, investor interest, or any specific business outcome.

6. Content Ownership and License

You own the decks, slide content, speaker notes, prompts, and brand context you create or upload to Prismdeck. We own the Service, the software, templates, and design system. AI-generated output is licensed to you for your use according to your plan. We do not claim ownership of your deck content.

7. License to Process Your Content

To operate the Service, you grant Prismdeck a limited, non-exclusive license to run your prompts through Anthropic, store and render your decks, and transmit content to your share-link viewers. This license ends when you delete your content or account. See our Privacy Policy for data handling details.

9. Acceptable Use

You agree not to use Prismdeck to:

  • Create unlawful, infringing, harassing, sexual, or harmful content
  • Generate content that violates Anthropic's usage policies or applicable law
  • Scrape, crawl, or harvest data from the Service without permission
  • Reverse engineer, decompile, or distribute the software
  • Share your account credentials or resell access
  • Interfere with the Service's security, availability, or integrity

10. Third-Party Processors

Prismdeck uses Stripe (payments), Anthropic (AI generation), InsForge (hosting, auth, storage), and consent-based analytics providers to operate the Service. Each processor handles data under its own terms. See our Privacy Policy and Trust & Security page for processor details.

11. Beta and Early-Access Features

Team collaboration and other features marked “early access” or “beta” may change, be delayed, or be discontinued. We do not guarantee a service-level agreement for beta features. Early-access members may receive promotional pricing, which may change at general availability.

12. Service Availability and Changes

The Service is provided on a best-effort basis. We do not guarantee uninterrupted uptime during the MVP phase. We may add, change, or discontinue features (including Free-plan features) with notice. We may discontinue the Service entirely with at least 30 days' notice and a path to export your data.

13. Termination

You may cancel your subscription anytime from billing settings; access continues through the end of your paid period. We may suspend or terminate your account for violation of these Terms, abuse, or 12 months of inactivity. You can export your decks before termination. Account deletion timing is described in our Privacy Policy.

14. Warranty Disclaimers

The Service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or non-infringement. Prismdeck does not guarantee that any deck will result in investor interest, fundraising success, or any specific business outcome.

15. Limitation of Liability

To the maximum extent permitted by law, Prismdeck and its parent NIGHT LITE USA LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

16. Disputes and Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law provisions. Any disputes will be subject to the jurisdiction of courts located in California. You and Prismdeck agree to attempt good-faith resolution before litigation.

17. Changes to These Terms

We may update these Terms by posting a new version on this page. Changes take effect immediately for new accounts and on the next renewal for existing paid subscribers. Continued use after changes are posted constitutes acceptance of the revised Terms.
